1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dedux.ai ("Company," "we," "us," or "our") governing your access to and use of our AI-powered sales intelligence platform, including our website, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Dedux.ai provides an AI-powered B2B sales intelligence platform that includes:

• AI-generated outreach campaign strategies
• Intent signal detection and lead scoring
• Automated email drafting and personalization
• Lead data enrichment
• Email inbox management and AI-powered reply drafting
• Integration with third-party services (Gmail, data providers)

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall NOT:

• Send spam, unsolicited emails, or violate anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• Use the Services to harass, threaten, or harm others
• Misrepresent your identity or affiliation
• Upload malware, viruses, or malicious content

5. Email Compliance

When using our Services to send emails, you are solely responsible for:

• Ensuring all recipients have given appropriate consent to receive emails
• Complying with all applicable email and privacy laws (CAN-SPAM, GDPR, CASL, etc.)
• Honoring unsubscribe requests promptly
• Including accurate sender information and physical address
• The content and accuracy of all emails sent through our platform

We reserve the right to suspend or terminate accounts that violate email best practices or receive excessive spam complaints.

6. Your Content and Data

You retain ownership of all content and data you upload to our Services ("Your Content"). By using our Services, you grant us a limited license to:

• Use Your Content to train AI models specific to your account
• Create anonymized, aggregated data for service improvement (without identifying you)

The Services, including all software, algorithms, designs, text, graphics, and other content provided by us ("Company Content"), are owned by Dedux.ai and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You may not copy, modify, distribute, sell, or create derivative works of any Company Content without our written permission.

10. AI-Generated Content

Our Services use AI to generate content such as email drafts, strategies, and recommendations. You acknowledge that:

• AI-generated content may not be perfect and should be reviewed before use
• You are responsible for reviewing and approving all content before sending
• We do not guarantee the accuracy, completeness, or effectiveness of AI-generated content
• AI outputs may reflect biases present in training data

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES
• THAT DEFECTS WILL BE CORRECTED

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEDUX.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• COST OF SUBSTITUTE SERVICES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
• DAMAGES FROM THIRD-PARTY CONTENT OR SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dedux.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Content, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Services at any time for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Conduct that we determine to be harmful to other users or our business
• Upon your request

Upon termination, your right to use the Services ceases immediately. We may delete your data in accordance with our data retention policies.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through our Services. Your continued use of the Services after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dedux.ai.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• No Third-Party Beneficiaries: These Terms do not create rights for any third party.
